Terms of Services

These Terms of Services (the "Terms") governs the services provided by the company Paninaro digital s.r.o., Identification No. 24139785, with its registered office at Kateřinská 492/10, 128 00 Prague 2 - Nové Město, the Czech Republic, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Inset 182263 (the "Provider") in connection with operation of the mobile application known as Beetangle. By accepting this Terms you fully agree and acknowledge the following and enter with the Provider into a binding agreement on use of Beetangle in connection with the applicable provisions of these Terms of law (unless such provisions of law are not hereby excluded or unless agreed hereby otherwise).

1. Description of Services

The Provider provides certain services operated thought its application Beetangle (the "Services"). These Terms represents binding terms and conditions for using of the Services. Should you not accept these Terms or any part of thereof, you must not use the Services. More particular description of Beetangle main parameters is set out on www.beetangle.com.

The Provider reserves the right from time to time to update, extent, reduce or otherwise modify Beetangle as per its sole discretion. By accepting this Terms you acknowledge any such future update, extension, reduction or other modification of the Services, provided that such updated, extended, reduced or otherwise modified Services shall be deemed to be the Services hereunder. Upon the registration with Beetangle the user automatically undertakes to act honestly and in good faith while using the Services and in compliance with these Terms.

By accepting this Terms you acknowledge that the while providing the Services, the Provider does not provide any any representations or warranties with respect to particular parameters of the Services and does not guarantee their faultless and/or uninterrupted operation. The Provider shall always exert its best effort to keep the Services in operation in the full extent, however the Provider is not responsible for any inconveniences caused by using the Services.

2. Users and Registration

You will be registered under your submitted user name either individually or as a team member (whereas if you are accessing the Services as a member of the registered team, you are bound by these Terms with unlimited extent). Please choose you password wisely and keep it reasonable protected by misuse of any third parties. Registration is made and the contract on use of the Services hereunder between you and the Provider shall automatically become effective upon your confirmation of the respective registration details sent by the Provider to your contact e-mail address used during the registration process. By the execution of the registration, you confirm that (i) the you unconditionally accept these Terms and no individual deviation from these Terms and/or other regulations of the use of the Services as may be determined by the Provider is acceptable; and (ii) you comply with any applicable minimum age requirements of your country of residence, whereas you acknowledge that you shall held the Provider harmless from any claims of any third parties whatsoever in connection with your failure of any applicable minimum age requirements.

3. Payment Conditions

The use of the Services is free of charge during the trial period of thirty (30) days as of the initial registration of the particular individual user. No such trial period is granted in the event of any repeated registration of the individual user. Upon the expiration of such trial period shall be the price for the use of the Services in the amount as set out on www.beetangle.com and selected by the user during the registration process. The Provider is entitled to change the price of the Services anytime in the future subject to its sole discretion. If this shall be the case, the provisions of Section "Variations" hereof shall apply.

4. Submitted Data

By using the Services you provide the Provider with information, files and folders that you upload to Beetangle (jointly the "Submitted Data"). Any Submitted Data remains in your full ownership and during the use of the Services you remain responsible for the content of the Submitted Data and its compliance with any intellectual property and other rights of any third persons. By accepting these Terms you agree not to copy, upload, download or share any Submitted Data unless you have the right to do so. You remain to be fully responsible and liable for what you copy, share, upload, download or otherwise use while using the Services. You are not entitled to upload any spyware or any other malicious software to the Services nor any materials of criminal nature or materials prohibited by general law of any country. The Provider reserves the right at any time in its sole discretion to remove and/or modify any Submitted Data without notice or liability. You must not use the Services if any of your Submitted Data is not simultaneously backed up by you on any other devices outside the scope of the Services. You remain to be responsible for the content and/or form of any Submitted Data uploaded and/or otherwise transferred to any websites, servers and/or any other devices of any kind of any third parties whatsoever while using the Services.

The Provider reserves the right to keep the Submitted Data uploaded on any servers as determined by the Provider, whether owned by the Provider or any third parties. By accepting these Terms and using the Services you acknowledge that the Submitted Data may be held by the Provider on servers of any third parties and/or in any country as may be determined by the Provider at its sole discretion and the use of the Submitted Data may be subject to the general terms and conditions of such third party provider. The Provider is not obliged to notify you on any placement or transfer of the Submitted Data to any server of any third person.

If the user is registered as a team member, by accepting these Terms you acknowledge that any Submitted Data uploaded by any member of your team shall be automatically shared and visible to all members of your team. If you do not agree with this, you should contact the member of your team making the initial registration with the Provider.

5. License

The Provider owns the intellectual property rights in the Services and all these intellectual property rights are reserved.

6. Limitation of Liability and Indemnity

The Provider shall not be liable for any loss or damage of any kind resulting from any use of or inability to use the Services. The user shall indemnify the Provider from all claims against the Provider by any third person(s) resulting from (i) breach by the user of any of the provisions of these Terms; (ii) upload or other transmission of any content into Beetangle in contradiction with the provisions of these Terms or general provisions of applicable laws; and (iii) upload or other transmission of any Submitted Data to any websites, servers and/or any other devices of any third parties of any kind whatsoever while using the Services. By using the Services you agree that these Terms (including but not limited to the exclusions and limitations of liability set out herein) are reasonable and common for providing of similar services and do not contain any provisions which could not be reasonable expected (Section 1753 of the Act No. 89/2012 Coll., the Civil Code of the Czech Republic, as amended).

7. Severability

If any provision of these Terms shall ever be held to be invalid, ineffective or unenforceable, then in each such event the remainder of these Terms shall not be thereby affected and each other provision hereof shall remain valid, effective and enforceable to the fullest extent permitted by law. We reserve the right to anytime replace any invalid, ineffective or unenforceable provisions by new ones, which new provisions are to be as close as possible in meaning to such invalid, ineffective or unenforceable provisions.

8. Privacy Policy

It is not intention of the Provider to collect and/or administer personal data of any user, however certain extent of data is required for due providing of the Services and by accepting these Terms and using the Services you agree with (i) submitting to the Provider of your identification details in the extent of e-mail, name and surname and delivery address (respectively e-mail, company name and identification no. and delivery address for legal entities/ entrepreneurs); and (ii) administration of such identification details by the Provider in the necessary extent required for your registration with the Provider for the purposes of providing the Services. The submitted identification data shall be administered by the Provider pursuant to the Act on Personal Data Protection No. 101/2000 Coll. of the Czech Republic, as amended.. The Provider shall administer the submitted data personally and shall not provide such identification details to any third party without your consent, unless required by the applicable provisions of law or by these Terms. The Provider shall not be responsible to any third persons for any failure of any user to provide with correct identification details. The submitted data shall be deleted by the Provider upon your request and termination of use of the Services. The user also acknowledges that certain personal data shall be necessarily required by the Provider’s contractual supplier for the purposes of delivery of equipment required for the use of the Services pursuant to Section "Third Parties" hereof.

9. Third Parties

If shall be so required by the technical or operation rules of providing of the Services, the Provider reserves the right to condition the use by purchase of an additional technological equipment from the Provider’s contractual supplier and upon the commercial and delivery conditions set out by such contractual supplier. The user hereby acknowledges and agrees that the purchase of such additional technological equipment shall be a contractual agreement solely between the user (buyer/acquirer) and such third party supplier (seller/supplier) and shall be realized solely under the terms and liability of such contractual supplier and the Provider shall not be responsible towards the user of the Services for any damages, if applicable, incurred in connection with delivery or operation of such equipment. The user hereby acknowledges and agrees that the personal data provided to the Provider for the use of the Services hereunder (in the extent of e-mail, name and surname and delivery address, respectively e-mail, company name and identification no. and delivery address) shall be submitted by the Provider to such contractual supplier (however with no right of such contractual supplier to further transfer or administer such data in any manner, unless agreed between such contractual supplier and the user of the Services otherwise).

10. Default and Termination

Without limitation of any other rights of the Provider pursuant to these Terms or the applicable law, if you breach these Terms in any way or otherwise act in a manner which result or may result to damage of the Provider's or the Services' good name and/or business reputation, the Provider reserves the right to take any action as it considers appropriate, including but not limited to the immediate unilateral termination of your access to the Services without any prior notification and/or reasoning.

11. Variations

The Provider reserves the right to revise these Terms from time-to-time. Any such revised Terms will be notified reasonably in advance and you are entitled to unilaterally refuse such revised Terms. Upon such refusal you shall be provided with a reasonable time for removal of any Submitted Data from our servers. If the Provider will not receive any such refusal prior to the effective date of the new Terms, it shall be deemed that such new Terms are unconditionally accepted and such revised Terms shall onwards govern the providing of the Services hereunder. Any aforesaid variation may also include, without limitation, the price of the Services (whether by making the Services subject to payment and/or change of the at that time applicable price).

12. Entire Agreement, Assignment

These Terms constitute the entire agreement between you and the Provider in relation to your use of the Services. The Provider may transfer, sub-contract or otherwise deal with its rights and/or obligations under these Terms without notifying you or obtaining your consent.

13. Law, Jurisdiction and Disputes Resolution

These terms and conditions will be governed by and construed in accordance with the laws of the Czech Republic, mainly by the Act No. 89/2012, the Civil Code of the Czech Republic, as amended. Any disputes arising out of these Terms and/or use of the Services shall be settled by the applicable courts of the Czech Republic.
